Reglex Limited, Reglex (Hong Kong)Limited and Reglex Pte Limited (collectively, “Reglex”) is a compliance industry focused hub offering information and analysis services (the “Services”)as well as templates, checklists and presentations (the “Products”) to the compliance sector via the www.reglex.io website (the “Site”). These “Payment Terms” apply to any person (individual or corporate user) accessing or using the Paid Services or Products of the Site.

1 PAYMENT TERMS

1.1 Access to the Site is governed by the Terms Of Use found at https://www.reglex.io/terms/. These Payment Terms are in addition to the Terms Of Use and describe the agreement between you or your Company for accessing the Paid Services and purchasing a Product on the Site.

1.2 Terms defined in the Terms of Use shall have the same meaning when used in these Payment Terms, unless defined below.

2 CHANGES OF TERMS

We may amend the Payment Terms from time to time in our sole discretion without notice or liability to you. It is your responsibility to review these Payment Terms periodically. By continuing to use the Paid Services following such amendments to the Payment Terms, you agree to be bound by such amendments. If you do not agree to the Payment Terms, now or at any time, please do not use the Paid Services or purchase any Products.

3 MINIMUM REQUIREMENTS

3.1 User Accounts

(a) To obtain or subscribe for Paid Services or Products on or through www.reglex.io, you must provide certain registration information (as set out in the Terms of Use) and obtain a Site account. You acknowledge that you are responsible for maintaining the security of, and restricting access to, your account and password, and you agree to accept responsibility for all purchases and other activities that occur under your account.

(b) For a multiuser corporate account, one or more Admin users must be defined and they should confirm and agree that these Payment Terms are acceptable.

(c) A user login to the site is required for each user and is for the use of the nominated user only. Username and password sharing are a breach of our Terms of Use.

4 SUBSCRIPTION TERMS

4.1 Payment; renewal

(a) By subscribing to a Subscription Plan (Monthly or Annually), you authorise Reglex to charge the applicable recurring subscription.

(b) When you initially subscribe to a Subscription Plan, you will be charged immediately for the initial term of the subscription at the then-current fee for the applicable subscription tier. Unless you notify us of your decision to cancel your Subscription Plan, your subscription will automatically renew at the end of each subscription term at the then-current fee.

(c) You will be charged in advance for the renewal term of the Subscription Plan on your applicable billing renewal date. Each charge on the applicable renewal date applies to the subscription period immediately following the renewal date (e.g., the calendar year immediately following the renewal date). The next renewal date is available to you on the Account screen when logged in to the Site.

(d) You may update any of your billing information (including a change to your desired billing payment method) through your account settings on the Site.

4.2 Cancellation of a Subscription Plan

(a) To cancel a Subscription Plan, a cancellation option is available in your account settings on the Site. Once you have cancelled your subscription, the auto-renew from your applicable payment method will be suspended. All of the fees paid and charges made prior to cancellation are non-refundable. Your Subscription Plan will terminate on the next billing renewal date applicable to your Subscription Plan.

(b) You agree that Reglex in its sole discretion without prior notice, may freeze or terminate your Subscription Plan if Reglex believes that you have violated these Payment Terms or the Terms of Use.

(c) Reglex may also in its sole discretion, and at any time, modify or discontinue providing any Subscription Plan, or any part thereof, without notice. Where you have paid in advance for a Service and Reglex terminates all or part of such Service prior to your billing renewal date, Reglex will reimburse the balance of fees on a pro-rata basis.

(d) You agree that Reglex shall not be liable to you or any third-party for any interference with, or termination of, your access to the Subscription Plan.

5 PRODUCT TERMS

5.1 Acceptance of your Product order will take place when we email you to accept it, at which point a contract will come into existence between you and us. If we cannot accept your Product order, we will inform you of this and will not charge you for the product.

5.2 Our Products are created, designed, and developed for use by, and within, firms regulated by, or in the process of being authorised, national competent authorities. Our Products are strictly not for use by other third parties. Use by any other third-party may result in infringement of our copyright and intellectual property rights for which we reserve the right to not accept your order and to seek compensation from you.

5.3 We make every effort to ensure our Products are up to date and are produced with due skill, care and diligence so you can have confidence when making a purchase online that the Product you are buying is up to date. However, we reserve the right to amend the Product if necessary, to comply with any applicable law or regulatory requirement, or if the amendment will not materially affect the nature or quality of the Services. Reglex shall notify you in any such event.

5.4 We will send you your purchased Product via email once we have received payment. We accept payment via credit card or bank transfer. If our supply of the Product is delayed by an event outside our control, such as the failure of communication systems, then we will contact you as soon as possible to let you know and we will take steps to minimise the effect of the delay. Provided we do this we will not be liable for delays caused by the event, but if there is a risk of substantial delay you may contact us to end the contract and receive a refund for any Products you have paid for but not received.

6 PRICE ADJUSTMENTS

6.1 Reglex may increase the price payable for any Subscription Plan, effective the first day of a renewal period by giving you notice of the new cost at least thirty (30) days before the beginning of the renewal period. If you do not cancel your subscription, you shall be deemed to have accepted the new cost for that renewal period and any subsequent renewal periods.

6.2 Once you have made payment for a period in a Subscription Plan, Reglex will provide the Service for the agreed fee for the duration of that period and will not charge any additional fee for that period.

6.3 If a new Service is made available during a period where the Subscription Plan fee has already been paid, Reglex will offer a fee whereby you may pay for the new Service to be added to your existing Subscription Plan.

6.4 Reductions in fees become effective on the next billing renewal date without any pro rata for the period covered under the then preceding subscription period.

7 ACCESSING OUR SERVICES

7.1 We make every effort to ensure that our Paid Services and Products are always available, but we cannot guarantee that Paid Services and Products will not be uninterrupted. We will not be liable to you if for any reason our Paid Services and/or Products are unavailable at any time or for any period.

7.2 You are responsible for making all arrangements necessary for you to have access to our Paid Services and/or Products. You are also responsible for ensuring that all persons who access our Paid Services and/or Products through your internet connection are aware of these Payment Terms and the Terms of Use, and that they comply with them.

8 DISPUTE RESOLUTION

Reglex and you agree to arbitrate all disputes and claims pursuant to the Terms of Use.
